BYLAWS
University of Michigan Alumni Club of Dallas
ARTICLE I – NAME AND PURPOSE
Section 1 – Name: The name of this organization shall be University Of Michigan Club of Dallas.
Section 2 – Purpose: The University Of Michigan Club of Dallas, through the cooperation of the Alumni Association of the University of Michigan, is organized to advance the interest of the University of Michigan.
The purpose of this organization is:
- to promote awareness of the alumni club to the greater Dallas-Fort Worth (DFW) area;
- to foster a sense of community among local members; and
- to serve as a resource for current University of Michigan students residing in the greater Dallas area
ARTICLE II – MEMBERSHIP
Section 1 – Membership: All graduates of the University of Michigan, all persons who have been in attendance as students at the University of Michigan and all who have been officially connected therewith may be members of this club. All persons who now have or have had children in attendance at the University of Michigan or who have shown a vital interest in the University shall be eligible for membership in this club.
ARTICLE III – MEETINGS OF MEMBERSHIP
Section 1 – Regular meetings: Membership meetings shall be held at least twice each year and at such more frequent intervals as the board of directors may deem proper. One meeting shall be designated as the Annual Meeting for the election of directors and officers.
ARTICLE IV – BOARD OF MEMBERSHIP
Section 1 – Role and size: The board is responsible for coordination and direction of the club. It shall be their duty to advise, counsel and guide. The board may have any number of offices, but not fewer than five.
Section 2 – Terms: All board members shall serve three years, but are eligible for re-election.
Section 3 – Meetings: The board shall hold meetings at least monthly, on the second or third Tuesday of the month as agreed upon by the board.
Section 4 – Quorum: A quorum must be attended by at least five members of the board for business transactions to take place and motions to pass.
Section 5 – Officers and Duties: There shall be four officers of the board consisting of a president, vice-president, secretary and treasurer. Their duties are as follows:
The President shall convene regularly scheduled board meetings, shall preside at or arrange for other members of the board to preside at each meeting. The President is also responsible for the general day-to-day activities of the club.
The Vice-President shall maintain similar duties to the President and has the authority to act in the President's absence.
The Secretary shall be responsible for maintaining and publishing the club's documents to include minutes of all board meetings.
The Treasurer shall make a report at each board meeting. The Treasurer shall be responsible for maintaining, administering and auditing the finances of the club.
Section 6 – Vacancies: All vacancies of unexpired terms shall be appointed by the board of directors to serve until the next election.
Section 7 – Resignation: Resignation from the board may be made at any time. Such resignation must be in writing and received by the Secretary or the President.
ARTICLE V – COMMITTEES
Section 1 – Committee formation: The board may create committees as needed where each committee consists of one or more directors. Each committee, except Standing Committees, shall serve at the pleasure of the board.
Section 2 – Standing Committees: The Club shall maintain the following committees, which shall be chaired by a director determined at the discretion of the President.
· Philanthropy: responsible for the philanthropic activities of the club, such as food drives, Habitat for Humanity, etc.
· Social/Cultural: responsible for providing the club's social and cultural life through various sponsored events.
· Scholarship: responsible for reviewing and awarding club scholarships.
· Student Relations/Recruiting: responsible for recruiting prospective students and informing them about the many benefits of the Michigan education.
· Technology: responsible for development and maintenance of club technology including club mailings and website content.
ARTICLE VI – AMENDMENTS
Section 1 – Amendments: These bylaws may be amended by a majority vote of those present at any meeting of the club.
